1. Introduction

Welcome to Jetwist.com, a platform for booking private flights, operated by JETWIST LIMITED, registered office at 6 Marino Mart, Fairview, Dublin 3, Ireland, VAT No. 4182416PH ("Jetwist", "we", "us"). These Terms and Conditions govern your use of the platform, which serves customers and operators in Europe, the Middle East and Asia-Pacific. By using Jetwist.com you agree to these terms. Please read them carefully before booking.

2. Definitions

Platform: the website Jetwist.com and any related application through which flights are published and booked.

User: anyone who uses the Platform, including customers booking flights, Operators and Intermediaries.

Operator (or Supplier): the air carrier or aircraft operator that publishes flights on the Platform and performs them under its own licences and responsibility.

Intermediary: a third party, such as a broker, involved in the sale of a flight.

Merchant of Record: Jetwist, which collects payment from the User on behalf of the Operator.

Payment Service Provider: the licensed third-party provider through which Jetwist processes payments (cards, digital wallets and other methods offered at checkout).

Pre-authorisation (or hold): a temporary reservation of the booking amount on the User's payment method, which is only charged once the booking is confirmed.

3. Booking Process

Jetwist acts as an intermediary: Operators publish their available flights, and Users may book a whole aircraft or individual seats. Where the Platform allows it, a User who has booked a whole aircraft may offer unused seats to other Users at a price set by that User ("seat sharing"); the sharing User remains responsible for the accuracy of the offer.

A booking request is submitted when the User completes checkout. The booking becomes confirmed only when the Operator has verified availability and Jetwist has notified the User by email. Until then, no contract of carriage exists.

4. Role of Jetwist

Jetwist acts as Merchant of Record for every transaction and manages the financial side of the booking. Jetwist is not the air carrier and does not operate the flights: the Operator is solely responsible for the flight, the aircraft, the crew, the schedule and all operational matters, under its own licences, insurance and the applicable aviation regulations.

5. Payment, Pre-authorisation and Commission

a. Payment methods. Payments are processed through licensed Payment Service Providers. The methods available (payment cards, digital wallets, cryptocurrencies or others) are shown at checkout and may change over time. Jetwist does not store full card details.

b. Pre-authorisation. At checkout, the booking amount is placed on hold on the User's payment method. The hold is charged only once the Operator confirms the flight, at the latest shortly before departure. If the Operator cannot confirm the booking, the hold is released in full and no amount is charged; the time needed for the funds to become available again depends on the User's bank. The confirmation page and email state the latest date on which the hold will be charged or released.

c. Prices and currency. Prices are shown in the currency selected by the User for convenience; the amount charged is the amount stated in euro at checkout. Any currency conversion is applied by the User's bank or card issuer at its own rates.

d. Commission. The amount collected is forwarded to the Operator, net of Jetwist's commission for facilitating the transaction. Where an Intermediary is involved, the commission may be shared with it as agreed between the parties. The price shown to the User at checkout is the total price payable.

6. User Responsibilities

Users must provide accurate and up-to-date information for every passenger, including the identity documents required for the flight, and must comply with these terms and with the Operator's conditions of carriage. Users who share seats are responsible for setting a fair and transparent price and for the information they give to other Users. Users must arrive at the departure terminal at the time indicated by the Operator; a passenger who does not show up is not entitled to a refund.

7. Operator Responsibilities

Operators are responsible for the safety, quality and legality of the flights they offer, for holding the required licences and insurance, and for complying with all laws and regulations in the countries where they operate. Operators must keep the information published on the Platform accurate and up to date.

8. Privacy and Data Security

Personal and payment data are processed in accordance with our Privacy Policy and the applicable data-protection laws, including the GDPR. Passenger data are shared with the Operator only to the extent necessary to perform the flight.

9. Changes, Cancellations and Refunds

a. By the User. Once a booking is confirmed by the Operator, it is non-refundable, except where stated otherwise in the Operator's conditions shown at checkout. Before confirmation, the User may cancel the request at no cost and the hold is released.

b. By the Operator or Jetwist. If a confirmed flight is cancelled by the Operator or by Jetwist for reasons not attributable to the User, the full amount paid is refunded, or the hold released, within the timeframes of the Payment Service Provider.

c. Schedule changes. Operators may adjust departure times for operational, weather or regulatory reasons. Jetwist will inform the User as soon as it is notified. A reasonable schedule change does not entitle the User to a refund.

d. Force majeure. Neither Jetwist nor the Operator is liable for failure to perform caused by events beyond their reasonable control, including weather, air-traffic restrictions, strikes or acts of authority.

10. Termination

Jetwist may suspend or terminate a User's account in the event of a breach of these terms, fraudulent or harmful activity, or abuse of the Platform.

11. Amendments

Jetwist may update these terms from time to time; the current version is always published on the Platform with its "Last updated" date. Continued use of the Platform after an update constitutes acceptance of the new terms. Bookings are governed by the version in force at the time of booking.

12. Governing Law and Jurisdiction

These terms are governed by Irish law. Any dispute will be subject to the exclusive jurisdiction of the courts of Ireland, without prejudice to the mandatory consumer protection rules of the User's country of residence.

Limitation of Liability

Jetwist makes every effort to publish accurate and up-to-date information, but the content of each flight (aircraft, pricing, availability and other details) is provided by the Operator, which remains responsible for it. Jetwist's liability towards the User is limited to the amount of the commission received on the booking concerned, except in cases of wilful misconduct or gross negligence, and never covers the performance of the flight itself, which is the Operator's responsibility.

Intellectual Property

All content on Jetwist.com, including logos, trademarks, texts and software, is protected by intellectual property rights. Any unauthorised use, reproduction or distribution is prohibited.

Regulatory Compliance

Jetwist complies with the regional, national and international laws governing online sales, e-commerce, consumer protection and data privacy applicable to its activity. Payments are handled through licensed Payment Service Providers in accordance with the applicable payment regulations.

Dispute Resolution

In the event of a dispute between a User and an Operator, Jetwist will assist the parties in reaching a solution and may propose mediation or another appropriate mechanism. Consumers resident in the European Union may also use the European Commission's online dispute resolution platform.

Security

Jetwist applies industry-standard security measures to protect data and transactions, including encryption, TLS/SSL connections and regular security assessments.
